Acceptable Use Policy

The rules that apply to use of DesignOps. Part of the DesignOps Terms of Service.

This Acceptable Use Policy (“AUP”) sets out the rules that apply to use of DesignOps and forms part of the DesignOps Terms of Service (“Terms”). Capitalized terms not defined in this AUP have the meanings given in the Terms.

#1. Purpose and Scope

This AUP is intended to protect DesignOps, its Customers, Users, third parties and the security and reliability of the Services.

Customers are responsible for ensuring that their Users comply with this AUP. A Customer may not permit or encourage another person to use the Services in a manner that would violate this AUP or the Terms.

#2. Permitted Use

You may use the Services only for lawful business and professional purposes and in accordance with the Terms, this AUP, the Privacy Policy and applicable laws.

You may use DesignOps to manage legitimate design-business workflows, including leads, projects, products, procurement, documents, proposals, tasks, communications, integrations and related business information.

#3. Prohibited Activities

You may not resell, sublicense, redistribute, lease, rent, timeshare, provide as a service bureau, white-label or otherwise commercially provide the Services or any material portion of DesignOps functionality to third parties, or provide access to the Services or DesignOps functionality to third parties for their commercial benefit.

No exception to these restrictions will be recognized unless it is expressly authorized by DesignOps in writing or expressly enabled by functionality provided through the Services.

You must not use the Services to:

  • violate any applicable law, regulation, court order or third-party right;
  • commit, facilitate or promote fraud, deception, impersonation, phishing, scams or other unlawful activity;
  • gain unauthorized access to any account, Workspace, system, network, data or service;
  • bypass, disable, defeat or interfere with authentication, access controls, security features, rate limits or other technical safeguards;
  • introduce, transmit, store or distribute malware, ransomware, viruses, malicious code or other harmful software;
  • probe, scan or test the vulnerability of the Services or attempt to circumvent security controls without DesignOps’ written authorization;
  • reverse engineer, decompile, disassemble or attempt to discover source code or underlying systems except where such restriction is prohibited by applicable law;
  • scrape, harvest or systematically extract information from the Services except through functionality expressly provided by DesignOps;
  • interfere with the availability, integrity, performance or operation of the Services or impose unreasonable or abusive load on DesignOps infrastructure;
  • use the Services to develop, train, benchmark or operate a competing service in a manner that materially misuses or extracts DesignOps' protected systems, data or functionality;
  • upload, process or use information that you do not have the right or lawful basis to provide to DesignOps;
  • infringe, misappropriate or otherwise violate intellectual-property, privacy, publicity or other rights of another person;
  • use the Services to make decisions about individuals where doing so would violate applicable law or create prohibited high-impact decisions;
  • use AI Features to generate or facilitate unlawful, fraudulent, deceptive, abusive or harmful activity;
  • use communication functionality to send spam, unsolicited bulk communications, deceptive messages or communications without required consent or authorization; or
  • encourage, assist or permit another person to do any of the above.

#4. Customer Data and Client Information

Customers are responsible for Customer Data submitted, uploaded, imported, captured, created, connected or otherwise made available through the Services.

Before providing Personal Data about a Lead, client, contact or other individual to DesignOps, the Customer must have the rights, permissions and lawful basis required to collect, use and provide that information and to process it through the Services.

DesignOps does not independently contact Leads whose information is entered by a Customer. Customers remain responsible for their communications, client relationships and legal obligations relating to Customer Data.

Customers must not use DesignOps to store or process Personal Data where the Customer lacks the required authority or lawful basis.

#5. Content and Intellectual Property

You must not upload, store, transmit or distribute content through the Services that you do not have the right to use.

You must respect third-party intellectual-property rights. DesignOps may act on credible intellectual-property complaints in accordance with the Terms.

You must not use DesignOps to create, distribute or facilitate content that is unlawful, fraudulent, defamatory, threatening, harassing or otherwise prohibited by applicable law.

#6. AI Features

AI Features are provided as assistive tools. AI outputs may be inaccurate, incomplete or unsuitable for a particular purpose.

You must review and verify AI-generated or AI-extracted information before relying on it or using it in business, client, procurement, financial or other decisions.

You must not use AI Features as a substitute for legally required professional review or to make decisions about individuals where applicable law prohibits or restricts that use.

You must not attempt to manipulate AI Features to bypass security controls, generate malicious code or content for unlawful purposes, extract confidential system information, or interfere with the operation of the Services.

#7. Integrations and Third-Party Services

When you connect an Integration, you must have the authority to connect the relevant account and authorize the data access and actions required by the Integration.

You must comply with the applicable terms, policies and restrictions of each Third-Party Service.

Information transmitted to or stored by a Third-Party Service through an Integration is subject to that Third-Party Service's applicable terms, privacy policy and data-handling practices. DesignOps does not control the independent processing of information by a Third-Party Service after that information has been transmitted to the service.

You must not use an Integration to access, transfer, modify or delete information that you are not authorized to access or control.

#8. Account, Workspace and Access Security

Each paid Seat is assigned to one named individual User. A Seat may not be shared concurrently or sequentially among multiple individuals for the purpose of avoiding additional Seat fees. Each paid Seat provides access to one specific Workspace. If a User needs access to another Workspace, the Firm Owner of that Workspace must purchase an additional Seat for that User. A Seat purchased for one Workspace does not provide access to another Workspace.

Seat Reallocation. A Seat may be reassigned to a different individual User when the originally assigned User leaves, changes role, or otherwise no longer requires access to the Workspace, provided that the reassignment is genuine and is not used to circumvent Seat requirements or allow multiple individuals to share or rotate access to the same Seat.

If DesignOps determines that more individuals are accessing a Workspace than the number of Seats purchased, DesignOps may require the Customer to purchase the additional Seats and may charge the applicable fees for those additional Seats for the period of unauthorized usage, in addition to restricting, suspending or terminating access.

DesignOps may use reasonable technical and administrative measures to detect and investigate credential sharing, unauthorized access, fraud, Seat circumvention and resale. Depending on the Services and information actually collected, these measures may consider login patterns, device or browser activity, IP addresses, timestamps, concurrent sessions and account or usage activity.

You are responsible for maintaining the confidentiality of your account credentials and for the activity carried out through your account.

Customers and Firm Owners are responsible for assigning appropriate Workspace permissions and removing access when a User should no longer have access.

You must not share credentials, impersonate another User, or allow unauthorized persons to access a Workspace.

You must promptly notify DesignOps through the support channel if you become aware of unauthorized access, compromised credentials or a security issue affecting your use of the Services.

#9. Communications and Anti-Spam

Where DesignOps provides communication or messaging functionality, you are responsible for the content and recipients of communications sent through the Services.

You must have the permissions and consents required to send communications and must comply with applicable anti-spam, privacy and electronic-communications laws.

You must honor applicable unsubscribe or opt-out requests and must not use DesignOps to distribute unsolicited, deceptive, abusive or unlawful communications.

DesignOps may limit, suspend or remove communication functionality where reasonably necessary to prevent spam, fraud, abuse, security threats or legal violations.

#10. Security and Abuse

You must not attempt to interfere with the security or integrity of DesignOps or another Customer's Workspace.

You must not use automated means to circumvent rate limits or access controls, or intentionally consume resources in a way that could impair the Services.

DesignOps may investigate suspected violations of this AUP and may take reasonable measures to protect the Services, Customers and third parties.

#11. Enforcement

If DesignOps reasonably believes that a User or Customer has violated this AUP, DesignOps may investigate and may remove or restrict access to relevant content or functionality.

Depending on the circumstances, DesignOps may warn the Customer, request corrective action, restrict an Integration or feature, suspend a User or Workspace, or terminate access in accordance with the Terms.

DesignOps may take immediate action where reasonably necessary to address security risks, fraud, abuse, unlawful activity, threats to the Services or risks to Customers or third parties.

Where appropriate and legally permitted, DesignOps may cooperate with law-enforcement or regulatory authorities in response to lawful requests.

#12. Reporting Violations

If you believe the Services are being used in violation of this AUP, you may report the concern to DesignOps at support@getdesignops.ai.

Reports should include enough information for DesignOps to understand and investigate the concern. DesignOps may request additional information where reasonably necessary.

#13. Relationship with the Terms and Privacy Policy

This AUP forms part of the Terms. If there is a conflict between this AUP and the Terms, the Terms control unless they expressly provide otherwise.

The Privacy Policy governs DesignOps' processing of Personal Data. The AUP does not change the privacy rights or obligations described in the Privacy Policy.

#14. Changes to this AUP

DesignOps may update this AUP from time to time. Material changes will be communicated in accordance with the notice provisions in the Terms.

Continued access to or use of the Services after an updated AUP takes effect constitutes acceptance of the revised AUP, to the extent permitted by applicable law.
